Specialist Agreement

This Specialist Agreement (this "Agreement") is between Boostera Labs Ltd (Company No. 11921132, Kemp House, 160 City Road, London, United Kingdom, EC1V 2NX), operator of Velora ("Velora", "we"), and you, if you apply to join the Velora specialist network as a matchmaker, date concierge, dating coach or profile curator (a "Specialist"). It applies in addition to Velora's Terms of Use and our AML / KYC & Content Moderation Policy — where those and this Agreement disagree on something specific to paid specialist work, this Agreement controls. Submitting a specialist application means you agree to this Agreement; it becomes effective for you only once we approve your application.

1. Independent contractor, not an employee

You provide matchmaking, concierge, coaching or curation services as an independent contractor. Nothing in this Agreement creates an employment, partnership, joint-venture or agency relationship between you and Boostera Labs Ltd. You are responsible for your own tax, social-security and business-registration obligations in your own country, and for determining your own availability and how you deliver a service within Velora's acceptable-use and compliance rules.

2. Application, review and approval

Applying does not guarantee approval. Every application is reviewed personally, and no Specialist takes paid work before completing identity verification and the KYC / sanctions screening described in our AML / KYC Policy. We may decline an application, or later suspend or remove an approved Specialist, at our reasonable discretion — including for member complaints, safety concerns, or providing false information in your application. Documents you submit for review are used only to assess your application and to meet our trust-and-safety and payout-compliance checks, and are handled under our Privacy Policy.

3. How engagements are booked and paid for

Members book and pay for a specialist engagement using their Velora credit balance, at the rate shown at booking. The credits a member spends are not automatically the same figure as your payout — see "How you get paid" below for how your earnings are actually released.

4. How you get paid

Payouts are currently manual: once you have delivered an engagement, we review it against your application and any records you keep, and — once approved — send your payout out-of-band (for example by bank transfer) using the payout details you provide. There is no automatic per-engagement payout API and no live earnings ledger in the product today; keep your own record of engagements delivered to support a payout request. We do not currently commit to a fixed commission split or payout schedule in this Agreement — a concrete number is not fabricated here because none is decided yet, and any Specialist we approve will be told the actual rate and timing that applies to their engagements before their first paid booking. We will update this Agreement if payouts move to an automated, PSP-routed mechanism.

5. Unspent balance on termination

If your Specialist status ends — whether you stop, we remove you, or the specialist network is discontinued — you may still submit a payout request for engagements you had already delivered before the change, provided you do so within 90 days of the change. We do not withhold earnings you have genuinely earned solely because your Specialist status has ended, but we may hold a payout during an open dispute, safety investigation, or suspected fraud.

6. Content, feedback and intellectual property

Materials you create while delivering an engagement (your own methodology, scripts, curation notes and the live advice you give) remain yours. You grant Boostera Labs Ltd a licence to record, store and use engagement content as needed to operate Velora — for example for the member's own history, for safety review, and to handle disputes — for as long as necessary for those purposes. You must not use anything a member shares with you, or the fact that you worked with them, outside the platform without their consent.

7. Professional-liability disclaimer

Specialist services on Velora are matchmaking, date-planning, coaching and profile-curation services — not licensed therapy, counselling, psychology, immigration, legal or financial advice — and you must not represent them as such regardless of any professional qualification you separately hold. You are responsible for staying within the scope described in your application and for referring a member to appropriate professional help if an engagement raises a mental-health, safety, legal or medical concern beyond that scope.

8. Conduct, safety and off-platform payment

You must treat members respectfully, keep engagements within the specialty you were approved for, and never solicit a member to pay you outside the platform, or share contact details for the purpose of avoiding Velora's fees. This mirrors the same off-platform-payment rule members must follow under our Anti-Scam Policy. We may suspend or remove you immediately for a safety or off-platform-payment violation.

9. Confidentiality

Anything a member tells you as part of an engagement is confidential to that relationship. Don't discuss an identifiable member's engagement with anyone outside the platform, except where we ask you to as part of a safety or dispute review, or where the law requires disclosure.

10. Ending this Agreement

Either you or Boostera Labs Ltd may end your participation in the specialist network at any time, for any reason, on reasonable notice where practical (immediate for a safety or trust-and-safety issue). Ending this Agreement does not cancel Velora's general Terms of Use, which continue to apply to your account.

11. Changes to this Agreement

We may update this Agreement as the specialist network evolves — in particular once a payout split or automated payout mechanism is decided (see §4) — and will take reasonable steps to tell active Specialists of a material change. Continuing to take bookings after an update means you accept the revised Agreement.

12. Governing law and contact
